These Website Terms of Service (these “Terms”) govern your access to and use of the website at northaxisdigital.com and any related online services (the “Website”) operated by NorthAxis Digital LLC (“NorthAxis,” “we,” “us,” or “our”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not access the Website. These Terms govern your use of the Website only; the use of our paid services is governed by a separate Master Services Agreement and Statement of Work.

You must be at least eighteen (18) years old to use the Website. By using the Website, you represent and warrant that you meet this requirement and that you have the legal authority to enter into these Terms, individually and on behalf of any entity for which you act.

5. Demo telephone line

We may make a demonstration telephone number available on the Website. By calling the demo line, you acknowledge that the call may be recorded and that you will be speaking with an AI assistant. The demo line is provided for evaluation purposes only and is not intended for business communications. We are not responsible for any reliance you place on responses generated by the AI on the demo line.

6. User submissions

If you submit any inquiry, comment, suggestion, or feedback through the Website (“Submissions”), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate such Submissions for any lawful purpose, without compensation or attribution to you.

The Website may include links to third-party websites or resources. We do not endorse, control, or assume responsibility for any third-party content, websites, or services. Your use of any third-party content is at your own risk and subject to the terms and policies of the applicable third party.

12. Dispute resolution, governing law and venue

12.1 Mandatory arbitration and class-action waiver

Except for claims for injunctive or equitable relief or to protect intellectual property, any dispute arising out of or relating to these Terms or the Website will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration is Miami-Dade County, Florida. The arbitrator's award may be entered in any court of competent jurisdiction.

You agree that disputes will be brought in an individual capacity only and not as a plaintiff or class member in any purported class, collective, or representative action.

You may opt out of this Section 12.1 by emailing legal@northaxisdigital.com within thirty (30) days of first accessing the Website. Opting out does not affect the remainder of these Terms.

12.2 Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. To the extent not subject to mandatory arbitration under Section 12.1, any action arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. Each party waives any right to a jury trial.

13. Changes to these terms

We may modify these Terms at any time by posting the revised Terms on the Website. The “Effective Date” above will reflect the most recent revision. Your continued use of the Website after the effective date of any update constitutes your acceptance of the updated Terms.

14. General

14.1 Entire agreement

These Terms constitute the entire agreement between you and NorthAxis regarding the Website and supersede any prior agreements regarding the same.

14.2 Severability

If any provision is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14.3 Waiver

No waiver of any provision will be effective unless in writing and signed by us. No failure to enforce any provision will constitute a waiver.

14.4 Assignment
